Minimum leave – waiver by judicial comparison of facts

In accordance with Section 13 para. 1, sentence 3 German Vacation Act, (Bundesurlaubsgesetz, BUrlG), in an ongoing employment relationship the waiver of minimum vacation entitlement is not permitted.

Monthly Dose Employment Law 05/2025

The fifth edition of our Monthly Dose Employment Law 2025 on current case law explains the judgments of the German Federal Labor Court on the probative value of foreign certificates of incapacity for work and on the evidentiary value of a delivery receipt and the transmission history in the case of a registered letter with delivery confirmation (Einwurfeinschreiben) as well as of the Regional Labor Court on the burden of proof of a whistleblower in a dismissal lawsuit and on the qualification of a managerial employee (leitender Angestellter) according to Section 5 (3) of the German Works Constitution Act (Betriebsverfassungsgesetz, BetrVG) in cases of exclusive personnel responsibility, and as well as of the Labor Court on claims for damages for forwarding private chat messages to the human resources department.

Will 8 become 9? – Extension of the filing deadline for mergers?

In the event of a merger, a closing balance sheet of the transferring legal entity prepared on a reference date no more than eight months prior to the filing of the application must be submitted to the German commercial register. Until now, it was highly controversial whether the closing balance sheet could still be submitted after the expiry of the 8 - month period. In its decision of March 18, 2025 – II ZB 1/24, the Federal Court of Justice (BGH) allows the balance sheet to be submitted after the 8 - month period has expired, even regardless of when it was prepared, thereby finally providing legal clarity. This offers companies legal certainty in time-critical cases and alleviates concerns about the registration being rejected.
