Deloitte Legal advises Ferro Duo Group on the sale of a majority stake to Lafayette

A Deloitte Legal team led by Düsseldorf Corporate/M&A partners Michael von Rüden and Thilo Hoffmann has advised the shareholder of Ferro Duo Group on the sale of a majority stake to Lafayette Mittelstand Capital.

Ferro Duo Group, headquartered in Duisburg, Germany, is a strategic partner in the recycling sector for the cement, steel and chemicals industries. In addition to its existing business, Ferro Duo is increasingly focusing on forward-looking projects that are implemented directly at the customer's site to address issues such as CO₂ reduction, resource and water conservation and waste minimisation in various industries.

The buyer, Lafayette Mittelstand Capital, is an investment company with private capital from institutional investors, family offices and Lafayette employees. It focuses on investments in medium-sized companies with a sustainable market position and headquarters in Germany, Austria or Switzerland. With Lafayette Mittelstand Capital, Ferro Duo has gained an experienced partner with an international network that will accompany Ferro Duo in its next growth phase and drive the implementation of its extensive project pipeline.

Deloitte Legal advised the shareholder Alexander Kehrmann on all aspects of transaction law in connection with the transaction. The seller relied on the extensive M&A expertise of the Deloitte Legal team led by Michael von Rüden and Thilo Hoffmann, which has been proven in a large number of comparable transactions.

Zumera, headquartered in Berlin, acted as exclusive M&A advisor to the seller, and was once again successful on the sell-side in a well-established cooperation with Deloitte Legal.

On the seller’s side the tax aspects of the transaction were handled by Baaten Steuerberatungsgesellschaft and IP aspects were handled by Hoffmann Eitle.

The buyer received legal advice from METIS Rechtsanwälte and tax advice from Kuhn & Partner.
