Deloitte Legal advises ORAFOL on Expanding Its U.S. Presence Through the Acquisition of Maxpro Manufacturing, LLC

A Düsseldorf-based Deloitte Legal team led by Dr. Michael von Rüden (Partner) advised ORAFOL Europe GmbH on the acquisition of the U.S.-based Maxpro Manufacturing, LLC from its previous shareholders. The transaction is still subject to the fulfillment of customary closing conditions.

Maxpro Manufacturing, LLC is a manufacturer of window and protective films headquartered in Whiteville, North Carolina, with an additional logistics facility in Chandler, Arizona. The company develops and manufactures a broad portfolio of high-quality film solutions for applications in the automotive, architectural, and paint protection sectors. In addition, Maxpro offers specialized tools and systems for professional film installation. The products are distributed worldwide through an established dealer network. Maxpro is known for innovative manufacturing processes, durable products, and a consistently application-oriented approach to professional markets.

The buyer, ORAFOL Europe GmbH, headquartered in Oranienburg, is a global market leader in the development and manufacture of self-adhesive graphic films, reflective materials, adhesive tape systems, and specialty polymer films.

With this strategic acquisition, ORAFOL is further expanding its global presence and commitment in the U.S. At the same time, the company is expanding its Functional Films business unit across the entire value chain – from the extrusion of highly advanced polymer films to specialized coating and lamination processes.

Deloitte Legal provided comprehensive legal counsel to ORAFOL Europe GmbH in connection with the transaction, in collaboration with its U.S. partner firm FBT Gibbons LLP. A German-American Deloitte team advised ORAFOL in the areas of financial advisory and tax.
