Deloitte Legal advises Zeitungsverlag Oberbayern GmbH & Co. KG regarding its investment in ShowHeroes SE, which was made in exchange for the contribution of the monetization platform provider, Traffective

A team from the Düsseldorf office of Deloitte Legal, led jointly by partners Dr. Michael von Rüden and Thilo Hoffmann (both Corporate/M&A), advised Zeitungsverlag Oberbayern GmbH & Co. KG on establishing an equity interest in ShowHeroes SE through the contribution of Traffective GmbH. Zeitungsverlag Oberbayern GmbH & Co. KG, a Bavarian publishing house, is part of the Ippen Group. ShowHeroes SE is a Berlin-based ad-tech company that specializes in CTV and video advertising solutions and has an international focus.

As part of the acquisition, Zeitungsverlag Oberbayern GmbH & Co. KG contributed its shares in Traffective GmbH, a programmatic advertising platform solution provider and operator of the programmatic monetization platform of the same name, to ShowHeroes SE. Going forward, the monetization platform will be operated under the brand “Traffective by ShowHeroes.” This merger creates one of the largest independent ad networks for publishers in Europe. The transaction is still subject to antitrust approval.
